The timeline and cost depend on the size of the company, the complexity of the supply chain, and the existing structure. A focused risk analysis and a core set of documents can be put in place in a short time. With a prioritised roadmap, we address the most critical risks in the most economical way.

The obligation to register with VERBİS (the Turkish data controllers' registry) depends on criteria such as the number of employees, the annual financial balance sheet, and the nature of the activity. Some data controllers fall within an exemption. We assess your situation, carry out the process where registration is required, and, where it is not, document that fact.

Yes. Settlement, a correction application and a lawsuit before the tax court are available against assessments and tax penalties. Each route has different time limits and strategic outcomes. We assess your file and run the process by identifying the route that offers the highest chance of success.

During the audit, it is critical that documents are prepared completely and consistently and that the process is conducted in accordance with proper procedure. A sound strategy at an early stage can narrow the scope of any potential disputes. From document preparation through to representation, we are by your side throughout the process.

A tax audit is a technical process whose risk can be minimised when it is managed correctly. Presenting the requested documents accurately and consistently, the responses given to the audit minutes and, where necessary, the settlement route are decisive. We manage the process from the outset and reduce any potential assessment and penalty to a minimum.

Tax planning means optimising the tax burden by lawfully using the exemptions, deductions and structures recognised by the legislation, and it is entirely legal. Tax evasion, on the other hand, consists of unlawful acts such as concealing income and is subject to severe sanctions. We carry out only lawful and defensible planning.

Tax compliance is a continuous process focused on fulfilling obligations accurately and on time. Tax planning, by contrast, aims to establish the most appropriate structure within the framework of the legislation. We coordinate both dimensions in an integrated manner with accounting and legal processes.

Yes. Tax compliance can be carried out in an integrated manner with our accounting and payroll services within the scope of corporate secretarial work. This integration improves data consistency and streamlines filing processes. Single-point coordination delivers both compliance and predictability.

In the event of a breach, notification must be made to the Personal Data Protection Board and to the affected data subjects as soon as possible. What is decisive is a prepared response, not panic. We prepare a breach response plan in advance and, when a breach occurs, manage the notification and defence processes to minimise any potential fine.

A data room is a mostly digital environment where the documents belonging to the target company are presented in an organised manner for review. Documents collected in line with the request list are made accessible here and reviewed under confidentiality. A well-designed data room both speeds up the review and ensures the traceability of the findings.

Transferring data abroad is possible provided the conditions set out by the KVKK (Türkiye's Personal Data Protection Law) — adequate protection, a written undertaking, or other mechanisms — are met. For intra-group transfers, we establish the appropriate legal basis and contractual safeguards and bring the transfer into compliance with the legislation.

It is possible, but cross-border data transfer is subject to special rules under both the KVKK and GDPR. We design the legal basis for the transfer, the necessary safeguards, and the contractual infrastructure together; and we manage transfers along the Türkiye–DACH corridor in particular in a compliant manner.

The applicable law and the competent forum directly affect the outcome of a dispute. Turkish law, the counterparty's law, or a neutral third law may be chosen; by assessing the consequences of each option in terms of proof, enforcement, and predictability, we recommend the most secure structure in your favour.

Foreign arbitral awards can be enforced in Türkiye where the enforcement conditions set out in the relevant legislation, above all the New York Convention, are met. We handle these processes from start to finish.

In corporate staff mobility, work permits, the company's compliance with capital and employment criteria, and the staff's residence status are planned together. We establish a collective and sustainable permit strategy for your company and run the processes in line with your business schedule.

Turkish law grants foreign investors largely the same conditions as domestic investors. A joint-stock company (A.Ş.) or a limited liability company (Ltd. Şti.) with foreign shareholders can be established; alternatively, a branch or a liaison office may be preferred. We carry out document certification, apostille, and power-of-attorney processes on a multilingual basis.

As a rule, Türkiye grants foreign investors the same rights as domestic investors. Only in a limited number of strategic sectors (for example, certain media, aviation and defence areas) are there special restrictions or permit requirements. We assess in advance the constraints specific to your target sector.

Foreigners may acquire immovable property in Türkiye within the framework of statutory restrictions (such as military-zone limitations and country and area caps). Acquisition can also be a route to a residence permit and to exceptional citizenship. We handle the process end to end, together with its title-deed and status dimensions.

Shareholders located abroad may attend meetings in person, or they may be represented by a duly executed power of attorney. In multinational shareholding structures, we manage the proxy, certification, and translation processes on a multilingual basis. In this way, geographical distance poses no obstacle to the validity of resolutions.

As a rule, foreign investment legislation allows the transfer abroad of profits, dividends, and sales proceeds. These transfers are carried out in compliance with the relevant banking and tax regulations. When we set up the investment structure, we also plan these exit and transfer mechanisms from the outset.

Yes. We prepare multilingual and comparable periodic reports in the format required by the head office or shareholders in the DACH region. This ensures that compliance with local legislation and the head office's reporting expectations are met within a single framework.

In cross-border transactions, transfer pricing, withholding tax, and the interpretation of treaty provisions are the principal risk areas. Incorrect application may give rise to double taxation or penal sanctions. By analysing these areas in advance, we build a predictable and defensible structure.

Yes; as a rule, Turkish legislation treats foreign investors on an equal footing with domestic investors and permits foreigners to establish companies. A company with foreign capital can be established through the same procedures as a domestic company. Only in certain regulated sectors may special permits or restrictions apply.

A work permit for foreign staff is obtained through an application filed with the Ministry of Labour by the employer company; certain criteria such as capital and employment are taken into account. We manage the process from start to finish and plan the permits of your managers and key personnel in line with your investment timeline.
